REGULATIONS OF

THE "BLACK FRIDAY FRENZY 2023: INTO THE SURFER-VERSE" PROMOTION

 

§1. GENERAL PROVISIONS

  1. These Regulations (hereinafter: “Regulations”) set out the terms and conditions of the “Black Friday Frenzy 2023: Into the Surfer-Verse” promotion (hereinafter: “Promotion”), whose organizer is SURFER sp. z o.o. based in Wrocław, Plac Solny 14/3, 50-062 Wrocław, Poland, entered in the Register of Entrepreneurs kept by the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Department of the National Court Register under number 0000752993, NIP: 8971860264, share capital: PLN 53,600.00 (hereinafter: “Surfer”).
  2. The Promotion applies to the services offered by Surfer available at https://surferseo.com/ website (hereinafter, respectively: “Services” and “Website”). The Services and related prices are available at: https://surferseo.com/pricing/ (hereinafter: “Pricing Page”).
  3. The Promotion is made available in three, separate and standalone variants (hereinafter each separately a “Variant”, collectively “Variants”), described in detail in schedules 1-2 to these Regulations (hereinafter: “Schedules”). Each Variant is regulated by these Regulations and the provisions set forth in the Schedule applicable to the given Variant.
  4. Each Variant is time-limited and is valid for a period of time specified in the applicable Schedule (hereinafter: “Promotion Period”).
  5. The following categories of persons may participate in the Promotion: (i) a natural person with full legal capacity in accordance with the law in force in the place of residence of that person, including a natural person conducting registered business activity; (ii) a natural person without full legal capacity only with the consent and under the supervision of a legal guardian and provided that all requirements necessary for the person to take effective legal action are met, in accordance with the law of that person’s place of residence; (iii) a legal person; or (iv) an entity without legal personality but with legal capacity, provided the person described in (i) – (iv) has accepted these Regulations and the Regulations of the Website and meets the additional conditions set forth for the given Variant in the applicable Schedule (hereinafter: “Participant”).
  6. By participating in the Promotion the Participant accepts the Regulations and, in the case of Participants who are new users of the Services – also the Regulations of the website available at https://surferseo.com/regulations/ (hereinafter: “Regulations of the Website”). In the case of Participants who are consumers (understood as a natural person: (i) who have entered into a contract with Surfer that is not directly related to their business or professional activity; or (ii) who conducts a business activity and who has entered into a contract with Surfer that is directly related to their business activity, when it is apparent from the content of the contract that the contract does not have a professional character for that person, arising in particular from the objects of their business activity (hereinafter: “Consumer”), Surfer will provide the Regulations and the Regulations of the Website on a durable medium.
  7. The expiration of the Promotion Period does not affect the rights acquired by Participants in connection with participation in the Promotion. Cancellation of an active subscription or its expiration for any reason will result in the permanent loss of the rights acquired in connection with participation in the Promotion in the months following the cancellation or expiration of a paid subscription to the Services, even if the subscription for the Services is purchased again.
  8. Rights acquired during the Promotion Period remain valid and can be exercised only if the Participant has an active paid subscription to the Services as at the end of the Promotion Period.

§2. PERSONAL DATA

Detailed terms and conditions regarding the protection of personal data, including the terms under which Participants entrust Surfer with personal data necessary for the proper performance of the contract, are contained in the Regulations of the Website and in the Privacy Policy available at: www.surferseo.com/privacy-policy.

 

§3. COMPLAINTS

  1. Participants have the right to file a complaint.
  2. Complaints can be sent via traditional mail to: Pl. Solny 14/3, 50-062 Wrocław, Poland, or by e-mail at [email protected].
  3. Complaints are processed on the basis of the Regulations of the Website, subject to clause 4 below.
  4. In the case of Participants who are Consumers, a response to the complaint will be provided within 14 days of its receipt or supplementation, on a durable medium. In the case of other Participants, the deadline for responding to complaints is 30 days.

 

§4. FINAL PROVISIONS

  1. Participants can contact Surfer via the following e-mail address: [email protected].
  2. The rights and obligations of the parties related to the purchase and provision of the Services, in particular the method and timing of payment, functionalities, the rules for Surfer’s provision and use by Participants of the Website and the software provided by Surfer, and the rules for withdrawal from the contract by Participants who are Consumers, are set forth in the Regulations of the Website. In matters not regulated in the Regulations, the provisions of the Regulations of the Website are binding.
  3. Surfer reserves the right to exclude the Participant from the Promotion with immediate effect, in case of any violation of applicable laws, provisions of the Regulations or Regulations of the Website.
  4. The Regulations are available free of charge on the Website, where they can be downloaded, saved, and printed. The Regulations shall become effective as of the  24th of November 2023.
  5. Surfer reserves the right to amend the Regulations at any time. Amendments will be published by posting on the website referred to in clause 3 above. Amendments to the Regulations will not have the effect of altering or terminating entitlements acquired by Participants prior to their implementation. The Participant will also be notified of the intended amendments to the Regulations, including the date of their implementation, in the form of messages visible on the Website. In the case of Participants who are Consumers, if the change concerns the essential features of the Promotion, such Participant has the right to withdraw from the Promotion Regulations during the Promotion Period.
  6. The Regulations are governed by the Laws of Poland, however, the provisions of the Regulations are not intended to deprive or limit any rights of Consumers. If any provision of the Regulations is inconsistent with the laws of the Consumer’s country of habitual residence, the provisions of that law shall prevail. In matters not regulated by the Regulations, including the processing of Participants’ personal data by Surfer, the provisions of the Regulations of the Website and the applicable provisions of Polish law, in particular, the Civil Code of 23 April 1964 (Journal of Laws of 2022, item 1360) and any other applicable legal acts, shall apply.
  7. All promotional and advertising materials regarding the Promotion are for informational purposes only.
  8. Any disputes in connection with the Regulations shall be resolved amicably, and in the absence of an amicable solution, they shall be resolved by a court of competent jurisdiction for the registered office of Surfer, or in the case of Participants who are Consumers, by a court of competent jurisdiction in accordance with applicable law. Consumers also have the right to use out-of-court dispute resolution. To do so, they can, for example, file a complaint through the Online Dispute Resolution (ODR) platform, available at: http://ec.europa.eu/consumers/odr/.

SCHEDULE 1

“Black Friday Promo” Variant

  1. This Schedule sets the rules of the “Black Friday Promo” Variant (hereinafter: “Black Friday Promo”).
  2. The Promotion Period for the Black Friday Promo starts on the 24th of November 2023, 00:00 AM Universal Time (UTC), and lasts until the  2nd of December 2023, 00:00 AM UTC.
  3. In addition to the requirements set forth in §1 section 4 of the Regulations, you need to meet one of the following requirements to participate in the Black Friday Promo:
  1. if you don’t have an active subscription to the Services - purchase a subscription to the Services; or
  2. if you already have an active subscription to the Services - purchase a higher (in terms of the total price value) subscription plan or upgrade from a monthly to an annual plan;
  3. if you have a subscription plan no longer available on the Pricing Page (a “Legacy Plan”) – purchase a currently available subscription plan by contacting Surfer’s support via [email protected].

You will not be eligible to participate in the Black Friday Promo if you have terminated a monthly Essential subscription plan (described on the Pricing Page) within a period of one calendar month prior to the start of the Promotion Period and repurchased the same subscription plan during the Promotion Period. 

  1. Each Participant of the Black Friday Promo is granted the following discount on the purchase of a subscription to the Services during the Promotion Period (hereinafter: “Discount”):
  1. if you purchase a monthly subscription plan - a 10% price reduction as compared to the basic price presented on the Pricing Page, for the first 6 months of the newly purchased subscription;
  2. if you purchase an annual subscription plan – a price reduction of (i) 10% for the Essential subscription plan described on the Pricing Page; or (ii) 19% for any other annual subscription plan, added to the regular price reduction available for annual plans (in comparison to monthly plans as presented on the Pricing Page) as presented on the Pricing Page, for the whole period of the newly purchased subscription.
  1. The Discount applies to regular plans as well as to AI plans, available for purchase on the Pricing Page.
  2. Purchasing a higher, in terms of the total price value, subscription plan (upgrading) does not affect the validity of the Discount, which will still apply to the remaining billing periods. Terminating the current subscription plan and purchasing a lower, in terms of the total price value, subscription plan (downgrading) results in terminating the Discount, which will not be effective for future billing periods.  
  3. The Discount does not stack with any other discounts you might have been granted. If you have an existing discount applied, you can contact Surfer’s support at [email protected] and request to replace your current discount with the Discount.

SCHEDULE 2

“AI Credits Promo” Variant

  1. This Schedule sets the rules of the “AI Credits Promo” Variant (hereinafter: “AI Credits Promo”).
  2. The Promotion Period for the “AI Credits Promo” Game starts on the 27th of November 2023, 03:00 PM Universal Time (UTC), and lasts until the 2nd of December 2023, 00:00 AM UTC.
  3. In addition to the requirements set forth in §1 section 4 of the Regulations, you need to have an active subscription to the Services to participate in the AI Credits Promo:
  1. if you don’t have an active subscription to the Services - purchase a subscription plan that includes Surfer AI Service; or

You will not be eligible to participate in the Black Friday Promo if you have terminated a monthly Essential subscription plan that included the Surfer AI Service (described on the Pricing Page) within a period of one calendar month prior to the start of the Promotion Period and repurchased the same subscription plan during the Promotion Period. 

  1. Each Participant of the Surfer AI Promo is granted a 30% price reduction on the purchase of an on-demand AI credit package (the “AI Bundle”),  during the Promotion Period (hereinafter: “AI Discount”), as compared to the basic price presented on the Pricing Page. 
  2. The AI discount is added to the discounts based on the volume of the purchased AI Bundle as presented on the Pricing Page. 

SCHEDULE 3

“Into the Surfer-Verse Game” Variant

  1. This Schedule sets the rules of the Surfer “Into the Surfer-Verse Game” Variant (hereinafter: “Into the Surfer-Verse Game”).
  2. The Promotion Period for the “Into the Surfer-Verse” Game starts on the 24th of November 2023, 00:00 AM Universal Time (UTC), and lasts until the 9th of December 2023, 00:00 AM UTC.
  3. In addition to the requirements set forth in §1 section 4 of the Regulations, you need to have an active subscription for the Services to participate in the “Into the Surfer-Verse”.
  4. During the Promotion Period, Participants of the “Into the Surfer-Verse” Game are eligible to claim back certain AI and/or Content Editor Credits offered by Surfer as a part of the Services, purchased and used within the Promotion Period (hereinafter respectively “AI Credits” and “Content Editor Credits” and jointly “Credits”). 
  5. To become eligible to claim back the AI Credits you must complete each of the following steps and meet the requirements set forth below:
  1. generate an article using the “Surfer AI” Service (hereinafter: “Surfer AI Article”) during the Promotion Period;
  2. reach a 66% or above Content Score (referred to as "green Content Score") measured as a part of the Services for the Content Editor Article;
  3. click the "Reclaim" button in a dedicated verification field (referred to within the Services as "Mission Banner") within the Services.

If the above-defined steps are completed, 1 AI Credit will be automatically assigned back to the Participant’s credit balance.

Each Participant is eligible to claim back 1 AI Credit per 1 Article, up to (i) a maximum of the number of AI Credits available per month per Participant’s current subscription plan (active as of the moment of making the claim) or (ii) a maximum of the number of AI Credits available per month within the Max AI plan in case of Participants with the "Enterprise" subscription plan, as described on the Pricing Page, however in no event more than 50 AI Credits per Participant.

  1. To become eligible to claim back the Content Editor Credits  you must complete each of the following steps and meet the requirements set forth below:
  1. create a new article using the “Content Editor” Service (hereinafter: “Content Editor Article”) during the Promotion Period;
  2. reach a 66% or above Content Score (referred to as "green Content Score") measured as a part of the Services for the Content Editor Article;
  3. Click the "Reclaim" button in a dedicated verification field (referred to within the Services as "Mission Banner") within the Services.

If the above-defined steps are completed, 1 Content Editor Credit will be automatically assigned back to the Participant’s credit balance.

Each Participant is eligible to claim back 1 Content Editor Credit per 1 Content Editor Article up to a maximum of the number of Content Editor credits available per month per user's current subscription plan (active as of the moment of making the claim).

  1. Participants will be provided a counter within the Services, live-tracking the number of Credits they have already reclaimed and a timer tracking the remaining time of the Promotion Period.
  2. In the event of purchasing a higher subscription plan in terms of the total price value (upgrading) or terminating the current subscription plan and purchasing a lower subscription plan in terms of the total price value (downgrading), the limit of Credits available to claim back during the Promotion Period by a Participant will be respectively increased or decreased to match the new plan's monthly limit. Purchasing a new subscription plan does not reset the limit of Credits available to be claimed back by a Participant. 
  3. In the event the total number of Credits reclaimed by all Participants within the Into the Surfer-Verse Game reaches a threshold of at least 50,000, each Participant who has an active subscription to the Services as of the end of the Promotion Period and has reclaimed at least 1 Credit during the Promotion Period, will be entitled to an additional 3 AI Credits as community reward, which will be automatically granted to all eligible Participants at the end of the Promotion Period. 
  4. All Credits reclaimed within the “Into the Surfer-Verse Game” remain valid for a limited time only and will expire as of the 1st of February 2024 00:00 AM UTC.
