REGULATIONS OF THE "SPRING 2024 PROMO" PROMOTION

§1. GENERAL PROVISIONS

1. These Regulations (hereinafter: “Regulations”) set out the terms and conditions of the “Spring Promo” promotion (hereinafter: “Promotion”), whose organizer is SURFER sp. z o.o. based in Wrocław, Plac Solny 14/3, 50-062 Wrocław, Poland, entered in the Register of Entrepreneurs kept by the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Department of the National Court Register under number 0000752993, NIP: 8971860264, share capital: PLN 53,600.00 (hereinafter: “Surfer”).
2. The Promotion applies to the services offered by Surfer available at https://surferseo.com/ website (hereinafter, respectively: “Services” and “Website”). The Services and related prices are available at: https://surferseo.com/pricing/ (hereinafter: “Pricing Page”).
3. The Promotion is time-limited and is valid from the 17th of April 2024, 12:00 AM Universal Time (UTC), until the 24th of April 2024, 12:00 AM UTC (hereinafter: “Promotion Period”).
4. The following categories of persons may participate in the Promotion: (i) a natural person with full legal capacity in accordance with the law in force in the place of residence of that person, including a natural person conducting registered business activity; (ii) a natural person without full legal capacity only with the consent and under the supervision of a legal guardian and provided that all requirements necessary for the person to take effective legal action are met, in accordance with the law of that person’s place of residence; (iii) a legal person; or (iv) an entity without legal personality but with legal capacity, provided the person described in (i) – (iv) has accepted these Regulations and the Regulations of the Website and meets the additional conditions set forth for the given Variant in the applicable Schedule (hereinafter: “Participant”).
5. By participating in the Promotion the Participant accepts the Regulations and, in the case of Participants who are new users of the Services – also the Regulations of the website available at https://surferseo.com/regulations/ (hereinafter: “Regulations of the Website”). In the case of Participants who are consumers (understood as a natural person: (i) who have entered into a contract with Surfer that is not directly related to their business or professional activity; or (ii) who conducts a business activity and who has entered into a contract with Surfer that is directly related to their business activity, when it is apparent from the content of the contract that the contract does not have a professional character for that person, arising in particular from the objects of their business activity (hereinafter: “Consumer”), Surfer will provide the Regulations and the Regulations of the Website on a durable medium.
6. The expiration of the Promotion Period does not affect the rights acquired by Participants in connection with participation in the Promotion. Cancellation of an active subscription or its expiration for any reason will result in the permanent loss of the rights acquired in connection with participation in the Promotion in the months following the cancellation or expiration of a paid subscription to the Services, even if the subscription for the Services is purchased again.
7. Rights acquired during the Promotion Period remain valid and can be exercised only if the Participant has an active paid subscription to the Services at the end of the Promotion Period.

§2. THE PROMOTION

1. Each Participant of the Promotion is granted the following discount on the purchase of a subscription to the Services or AI package during the Promotion Period (hereinafter: “Discount”):some text
   1. if you purchase a monthly subscription plan - a 30% price reduction as compared to the basic price presented on the Pricing Page, for the first 3 months of the newly purchased subscription or when upgrading an existing plan to a higher plan available on the Pricing Page;
   2. if you purchase an annual subscription plan – a one-time price reduction of 30% as compared to the basic price of the subscription plan described on the Pricing Page.
   3. if you purchase any AI credit bundle (hereinafter: “AI package”) - a 30% price reduction as compared to the basic price presented on the Pricing Page. All AI credits purchased during the Promotion will be valid for 12 months. There is no limit to the number of packages that can be purchased per user during the Promotion period. 
2. To claim the Discount the Participant needs to choose the Services offered by Surfer and purchase the subscription via Surfer’s dedicated website. 
3. The Discount applies to regular plans as well as to AI plans, available for purchase on the Pricing Page.
4. Terminating the current subscription plan results in terminating the Discount, which will not be effective for future billing periods.  
5. The Discount does not stack with any other discounts you might have been granted. If you have an existing discount applied, you can contact Surfer’s support at [email protected] and request to replace your current discount with the Discount.
6. The Discount does not apply to subscriptions or packages purchased as part of a downgrade of an existing plan.
7. Users of the trial version of Services can participate in the Promotion.
   For clarification:
   - if a user starts the trial before the Promotion and finishes the trial during the Promotion, such a user has access to the Discount under the terms of the Promotion;
   
   - if a user starts the trial during the Promotion and finishes the trial after the end of the Promotion, such a user has access to the plan Discount under the terms of the Promotion for an additional week.
8. The trial lasts for 7 days but can be terminated earlier at any time.

§3. PERSONAL DATA

Detailed terms and conditions regarding the protection of personal data, including the terms under which Participants entrust Surfer with personal data necessary for the proper performance of the contract, are contained in the Regulations of the Website and in the Privacy Policy available at: www.surferseo.com/privacy-policy.

§4. COMPLAINTS

1. Participants have the right to file a complaint.
2. Complaints can be sent via traditional mail to: Pl. Solny 14/3, 50-062 Wrocław, Poland, or by e-mail at [email protected].
3. Complaints are processed on the basis of the Regulations of the Website, subject to clause 4 below.
4. In the case of Participants who are Consumers, a response to the complaint will be provided within 14 days of its receipt or supplementation, on a durable medium. In the case of other Participants, the deadline for responding to complaints is 30 days.

‍§5. FINAL PROVISIONS

1. Participants can contact Surfer via the following e-mail address: [email protected].
2. The rights and obligations of the parties related to the purchase and provision of the Services, in particular the method and timing of payment, functionalities, the rules for Surfer’s provision and use by Participants of the Website and the software provided by Surfer, and the rules for withdrawal from the contract by Participants who are Consumers, are set forth in the Regulations of the Website. In matters not regulated in the Regulations, the provisions of the Regulations of the Website are binding.
3. Surfer reserves the right to exclude the Participant from the Promotion with immediate effect, in case of any violation of applicable laws, provisions of the Regulations, or Regulations of the Website.
4. The Regulations are available free of charge on the Website, where they can be downloaded, saved, and printed. The Regulations shall become effective as of the  17^th of April 2024.
5. Surfer reserves the right to amend the Regulations at any time. Amendments will be published by posting on the website referred to in clause 3 above. Amendments to the Regulations will not have the effect of altering or terminating entitlements acquired by Participants prior to their implementation. The Participant will also be notified of the intended amendments to the Regulations, including the date of their implementation, in the form of messages visible on the Website. In the case of Participants who are Consumers, if the change concerns the essential features of the Promotion, such Participant has the right to withdraw from the Promotion Regulations during the Promotion Period.
6. The Regulations are governed by the Laws of Poland, however, the provisions of the Regulations are not intended to deprive or limit any rights of Consumers. If any provision of the Regulations is inconsistent with the laws of the Consumer’s country of habitual residence, the provisions of that law shall prevail. In matters not regulated by the Regulations, including the processing of Participants’ personal data by Surfer, the provisions of the Regulations of the Website and the applicable provisions of Polish law, in particular, the Civil Code of 23 April 1964 (Journal of Laws of 2022, item 1360) and any other applicable legal acts, shall apply.
7. All promotional and advertising materials regarding the Promotion are for informational purposes only.
8. Any disputes in connection with the Regulations shall be resolved amicably, and in the absence of an amicable solution, they shall be resolved by a court of competent jurisdiction for the registered office of Surfer, or in the case of Participants who are Consumers, by a court of competent jurisdiction in accordance with applicable law. Consumers also have the right to use out-of-court dispute resolution. To do so, they can, for example, file a complaint through the Online Dispute Resolution (ODR) platform, available at: http://ec.europa.eu/consumers/odr/.
